Terms of Service

1. What Ounits Is

Ounits (also referred to as "Ounitss") refers to the digital coordination platform operated by Ounits Technologies Inc. Our platform is designed to help groups navigate the complexities of buying property together with ease. We provide a seamless, guided experience that facilitates the transition from discovery to final ownership, providing transparency for every member of the group.

Ounits is connected to a network of licensed real estate professionals who facilitate these transactions, with access options available for both our partner network and external licensed professionals.

We guide the process through:

  • Integrated Property Search: Effortlessly discover property listings through our integrated MLS® data.
  • Digital Tools for Group Coordination: Centralized communication and guided workflow for groups through every step of the process to own and manage properties.
  • Document Management & Purchase Tracking: A secure, immutable repository for all legal and financial documents related to each deal.
  • Legal Professional Connections: Referral to a network of partner legal professionals specializing in co-ownership structures

We’re a coordination platform, not an advisory firm. Our role is to provide the digital platform that guides your group through the purchase process. To ensure your group’s unique needs are met, all final investment decisions and legal reviews are completed in consultation with your chosen professional advisors. We don’t provide legal, financial, tax, or investment advice. These Terms and Conditions (“Terms”) govern your access to the Ounitss services (“Services”), including access to the website (the “Site”) and any software available through the Site (“Platform”), and related services offered by Ounitss.

2. Who Can Use It

Throughout these Terms, we refer to users of the Services as “Users” (or “you”, “your” and similar references). Users may request additional services by providing the information requested by Ounitss and agreeing to the terms of a separate agreement either (a) online; or (b) by entering into a written agreement with Ounitss or third-party real estate representatives.

To access and use Ounits (also referred to as “Ounitss”), you must meet the following criteria:

  • Legal Age of Majority: You must have reached the legal age of majority in both the province or territory where you reside and the province or territory where the property purchase is taking place.
  • Capacity to Contract: You must be legally eligible to enter into binding contracts, own property, and hold shares or units in a legal entity within Canada. The Services are not designed to be used by children. You represent and warrant that you have attained the age of majority in the jurisdiction in which you are a resident, and are fully able and competent to enter into the terms, conditions, obligations, representations, and warranties set forth in these Terms, and to abide by and comply with these Terms. You may not use the Services if you live in a jurisdiction where access to or use of the Services or any part of it may be illegal. It is solely your responsibility to determine whether your use of the Services is lawful, and you must comply with all applicable laws.
  • Group Membership: You represent and warrant that you are part of a group of two or more individuals with a pre-existing relationship who have independently decided to co-purchase real property together. Ounits does not match strangers together. Ounits facilitates the journey for groups with pre-existing relationships. We believe the best co-owning experiences are built on mutual trust; therefore, our platform is optimized for groups of friends, family, or partners who have already decided to buy together.

In using this website or services offered by this website, you are entering into a lawful broker-consumer relationship with Ounitss.

Users represent and warrant that by accessing the Services they have a bona fide interest in the purchase, sale, or lease of real estate and may not use the Content (as defined hereunder) for any commercial purpose or any other purpose other than the permitted use under the license as described in these Terms. You may not access the Site or the Platform, or use the Services if you do not have a bona fide interest in the purchase, sale, or lease of real estate.

Please read through these Terms carefully before using the Services. By accessing, using or browsing the Site or Platform you agree to be legally bound by these Terms and all terms, policies and guidelines incorporated by reference in these Terms. If you do not agree with these Terms in their entirety, you may not use the Site or access the Platform.

If the individual accepting these Terms is accepting on behalf of a company or legal entity, such individual represents that they have the authority to bind such entity and its affiliates to these Terms, in which case the term “User” shall refer to such entity and its affiliates. If the individual accepting these Terms does not have such authority, or does not agree with these Terms, such individual must not accept these Terms and may not use the Services.

3. Privacy Policy

Your privacy is central to the Ounits experience. We collect and process data to facilitate your transaction and maintain the integrity of your Holding records.

  • Internal Sharing: Information you provide is shared with your specific co-ownership group members to facilitate collective decision-making.
  • Professional Sharing: We share relevant data with the partner law firms and licensed real estate professionals connected to your deal to ensure a seamless closing process.
  • No Sale of Data: Ounits does not sell your personal or financial information to third-party marketers.
  • Audit Retention: To maintain a legally auditable ownership structure, certain data (such as executed documents) will be retained in a read-only format even after a user account is closed.
  • Transparency and Compliance: The Ounits experience abides by jurisdictional regulatory compliance, such as PIPEDA, while ensuring that information specific to co-ownership group members are kept confidential.
  • Data Retention: Upon request, you may obtain a summary of the data Ounits holds about you. Where data is retained beyond account closure, we will identify the specific legal or regulatory basis for that retention and limit it to only what is strictly necessary for that purpose.
  • Data Minimization & Legal Compliance: Ounits collects, uses, and retains personal information only to the extent necessary to fulfill the purposes identified at the time of collection, in strict accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA), Canada’s Anti-Spam Legislation (CASL), and any applicable Ontario privacy law. You have the right to access, correct, or request deletion of your personal information, subject to our legal retention obligations.

Please refer to Ounitss’s privacy policy by clicking here (the “Privacy Policy”) for information on how Ounitss collects, uses and discloses personally identifiable information from Users. By using the Services, you agree to our use, collection and disclosure of personally identifiable information in accordance with the Privacy Policy.

4. How It Works

  • Create Groups: Form co-ownership groups, invite members, define decision making rules, vote on properties.
  • Search Properties: Browse integrated MLS® listings and share favorites with your group to find the right investment. Note that property data is sourced from third parties; we provide the tools to view it, but information should always be verified independently.
  • Coordinate Purchase: Navigate the journey from offer to ownership by tracking milestones, centralizing document management, and maintaining a clear audit trail of every task.
  • Professional Network Access: We provide your group with direct access to our curated network of licensed real estate professionals and partner law firms who specialize in co-ownership structures. This ensures that while you use our platform to coordinate, you are supported by experts who understand the complexities of group buying. All legal services provided by independent licensed lawyers, not by Ounits.

5. Real Estate Brokerage Services

All professional real estate brokerage services are provided by independent licensed professionals through their respective brokerages.

  • Service Integration: Prior to making an offer, your group will enter into a Buyer Representation Agreement with a licensed real estate professional. Access to the Ounits platform is provided as an integrated tool within this professional service.
  • Regulatory Compliance: All real estate trading activities are provided by licensed professionals and are strictly regulated by RECO under the Trust in Real Estate Services Act (TRESA).
  • Independent Professional Responsibility: These services are governed solely by your agreement with the broker or realtor. Ounits provides the platform to guide the process but does not participate in regulated trading or negotiation activities. Users may further request to connect with real estate representatives for additional services relating to viewing, leasing, listing, or acquiring real estate. Any such services are offered by such real estate representatives and Ounits shall not be responsible for such services.
  • Service Models:
    • Partner Realtor Model: Groups working with a realtor within our primary network receive full access to Ounits’s coordination and tracking features.
    • External Realtor Model: Groups working with realtors outside our primary network may have restricted or paid access to platform features.
  • Brokerage Disclosure: Ounits/Ounitss is not a real estate broker or brokerage. We do not represent buyers or sellers in real estate transactions. Our remuneration may be charged to brokerages on a referral fee or per transaction basis.
  • Representation: Ounits cannot and does not represent or warrant that any individual or entity acting as a real estate representative or connecting with the Users through the Site and/or Platform is registered, licensed, qualified, or otherwise authorized or capable of performing any described services. Ounits does not make any representations, warranties or assurances as to the timeliness, completeness or accuracy of the information provided by any real estate professional, or other real estate or real-property-related service provider on or through the Services.

6. Your Responsibilities

As a user of the Ounits platform, you play a critical role in the success and integrity of your transaction. By using the platform, you acknowledge and agree to the following responsibilities:

  • Group Formation and Vetting: You are responsible for selecting your co-owners. Ounits provides the coordination platform for your group but does not perform background checks, credit screenings, or character vetting of individual members.
  • Independent Professional Consultation: While Ounits provides connections to professional networks, you are responsible for obtaining independent legal, tax, and financial advice tailored to your specific circumstances.
  • Due Diligence: You are responsible for conducting thorough due diligence on any property you consider. This includes, but is not limited to, professional home inspections, appraisals, and neighborhood research.
  • Verification of Information: Ounits facilitates the flow of data from third parties (such as MLS® listings). You, through your realtor, are responsible for independently verifying all property details, financial figures, and legal descriptions before proceeding with a commitment.
  • Decision-Making: Ounits provides the framework for group voting and consensus, but all final decisions, including the decision to offer, the selection of a legal structure, and the confirmation of capital, are made solely by you and your group.

Ounits provides the platform to facilitate your group purchase process; we do not provide recommendations or legal, financial, tax, or investment advice.

7. Fees

Platform Access and Usage

Ounits provides a digital coordination platform. Access to and use of the Platform is subject to the payment of fees as outlined in our current Fee Schedule.

  • Authority to Charge: Ounits reserves the right to charge fees for platform access, subscription tiers, and specific coordination features. You agree to pay all fees associated with your account in accordance with the billing terms in effect at the time the fee or charge becomes due.
  • Service Paths: Platform fees may vary based on whether a group utilizes a Realtor from the Ounits Partner Network or an external licensed professional. Ounits reserves the right to apply usage limits or recurring access fees based on the selected service path.
  • Non-Refundability: Unless otherwise stated in the Fee Schedule or required by law, all fees paid to Ounits are non-refundable.

The use of the Ounits platform involves specific costs related to platform access and professional transaction support. Fees are structured based on the user’s role and the complexity of the services required.

Professional and Network Fees

Ounits provides specific tools and access tiers for licensed professionals. Responsibility for these fees is as follows:

  • Ounits Partner Network Membership: To become part of the Ounits Partner Network, licensed real estate professionals are subject to a separate partnership fee structure. This membership grants the professional the right to be recognized as a partner and access the Ounits professional ecosystem.
  • Partner Realtor Fees: Licensed real estate professionals within the Ounits Partner Network pay a fixed, per-transaction fee to utilize the Platform’s professional-grade coordination and management tools for their group clients. These fees are independent of any commissions earned by the professional.
  • External Realtor Access: Access for Realtors outside of the Ounits Partner Network is granted at Ounits’s sole discretion and is subject to separate terms, which may include restricted access levels or independent usage fees.
  • Third-Party Professional Fees: You acknowledge that fees for legal counsel, co-ownership structures (LPs/Corporations), and brokerage commissions are governed by independent agreements. Ounits does not participate in fee-splitting or commissions earned by licensed professionals.

Excluded Costs

The Ounits platform fees are strictly for digital coordination tools and platform access. They do not include the following costs, which are handled externally:

  • Real Estate Brokerage Commissions: Any commissions or fees related to the trade of real estate are governed by the Buyer Representation Agreement and are typically settled through the transaction proceeds (traditionally paid by the seller).
  • Professional Advisory Fees: Users are responsible for any fees related to independent tax, financial, or investment advice obtained to support your purchase.
  • Property-Specific Closing Costs: The following costs are the responsibility of the buyer and are not included in Ounits’s fees:
    • Property inspections and appraisals.
    • Land Transfer Taxes (Provincial and/or Municipal).
    • Title insurance and government registration fees.
    • Any other disbursements required by buyer’s legal counsel to complete the transaction.

8. Disclaimers & Risks

1. No Professional Advice

While Ounits provides access to a network of licensed real estate professionals and partner law firms, these individuals and entities are independent third-party service providers.

  • Independent Selection: You are responsible for evaluating and selecting the specific professionals from our network (or externally) that best meet your group’s needs.
  • No Supervision: Ounits does not supervise, monitor, or control the professional services provided to you. We assume no responsibility for the work product, advice, or conduct of any third-party professional.
  • Direct Relationship: Your legal and real estate representation is governed by separate agreements between you and those professionals (e.g., a Buyer Representation Agreement or a Legal Retainer).
  • Investment Recommendations: Ounits does not evaluate the merits of any property purchase or suggest specific investment strategies.
  • Valuation Guarantees: We do not provide property valuations or guarantees of future appreciation. Any property data displayed is for informational purposes only.

2. Data and Participant Verification

While Ounits facilitates the flow of information, we do not:

  • Property information is sourced from MLS® through a licensed data provider and is kept current in accordance with our data agreement. We do not independently verify the accuracy or completeness of individual listing details, always confirm property information with your realtor before making any commitment.
  • Screen Co-Owners: Ounits does not conduct credit checks, criminal background checks, or financial audits of your co-owners. You are solely responsible for vetting the individuals with whom you choose to partner.

3. Acknowledgment of Risks

Co-owning real estate is a significant undertaking that involves inherent risks. By using the platform, you acknowledge and accept that:

  • Interpersonal Risk: Disputes may arise between group members regarding property management, expenses, or exit strategies.
  • Financial Risk: Property values may fluctuate or decline. Additionally, if a co-owner fails to fulfill their financial obligations (such as mortgage payments or maintenance costs), the remaining group members may be held liable.
  • Transaction Failure: Real estate transactions may fail to close due to financing issues, inspection results, or other external factors beyond Ounits’s control.
  • Liquidity and Exit Risk: Unlike stocks or bonds, real estate is an illiquid asset. Selling your interest in a co-owned property may be difficult, time-consuming, or costly depending on your internal group agreements and market conditions.

You are strongly encouraged to obtain professional property inspections, independent appraisals, and legal reviews of all co-ownership agreements prior to committing to a purchase.

The site, platform, content and the services are provided to you on an “as is” basis without warranties from Ounitss of any kind, either express or implied. Ounitss expressly disclaims all other warranties, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

The site, platform, services and content are provided to you for informational purposes only and should not be relied upon as accurate, complete, timely or fit for any particular purpose, including analytics, visualization, and predictions. You should conduct your own due diligence on any information provided to you by Ounitss.

Ounitss does not represent or warrant that the content is accurate, complete, reliable, current or error-free, and expressly disclaims any warranty or representation as to the accuracy or proprietary character of the site, platform, the services, the content or any portion thereof.

Ounitss does not warrant, guarantee or assume responsibility for any product(s) or services, or any portion thereof, promoted or sold on or through the site or the services offered by third-party real estate representatives. Ounitss may provide additional disclaimers in its description of services accessed through the site, the platform, or through the services, sent by email or other correspondence to you.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Ounits Technologies Inc. and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, loss of data, or damages arising from:

  • Group Dynamics: Disputes, defaults, or failures to perform by any member of your co-ownership group.
  • Market Conditions: Changes in property values, interest rates, or general real estate market volatility.
  • Failed Transactions: Ounits shall not be liable for any failure to complete a real estate transaction, including but not limited to failure to close, regardless of the cause. This includes, without limitation, financing conditions not being satisfied, inspection or due diligence issues, title defects, mutual agreement to rescind, default by any party to the transaction, changes in market conditions, or any other circumstance beyond Ounits’s direct control. Ounits’s role is limited to providing a digital coordination platform and does not extend to guaranteeing the completion of any transaction.
  • Third-Party Information: Inaccuracies in data provided by third parties (realtors, lawyers, or MLS® feeds).
  • User Decisions: Any investment, legal, or financial decisions made by you or your group based on information, data, or tools provided through the Platform.
  • Service Availability: The platform is provided on an “as is” and “as available” basis. While we strive for 100% uptime, we do not guarantee that access will be uninterrupted or error-free.

Maximum liability: Our total liability for any claim arising out of or relating to these terms or the use of the platform shall not exceed the total amount of Platform Fees paid by you to Ounits during the twelve (12) months immediately preceding the event giving rise to the claim.

Note: This limitation does not apply to cases of gross negligence, fraud, or willful misconduct by Ounits, or as otherwise prohibited by Ontario law.

10. Tax Obligations

Co-ownership and the creation of legal entities (such as Corporations or LPs) involve significant tax implications.

  • Sole Responsibility: You are solely responsible for understanding your tax obligations, filing all required returns with the Canada Revenue Agency (CRA), and paying any taxes due.
  • Professional Consultation: We strongly recommend consulting a tax professional experienced in Canadian real estate partnerships.
  • Data for Convenience Only: Any tracking tools or financial summaries provided on the Ounits platform are for administrative convenience and do not constitute tax advice or official financial records for filing purposes.

11. Intellectual Property

  • Platform Ownership: The Ounits platform, its software, design, and proprietary workflows are owned exclusively by Ounits Technologies Inc. You may not copy, modify, reverse engineer, or attempt to create a competing service based on our platform.
  • User Content: You retain ownership of the content and documents you or your real estate professionals upload. User Content on the Services may include a comment, review, information, data, images, videos, sounds and other data uploaded by a User to the Services.
  • Limited License: By uploading content, or authorizing your professional partners to do so, you grant Ounits a limited, non-exclusive, royalty-free, transferable right to use, display, perform, reproduce, distribute, publish, modify, adapt, translate and create derivative works from such User Content, in the manner in and for the purposes which the Site and/or Services from time to time use such User Content; (b) represent and warrant that (i) you own and control all of the rights to the User Content, or otherwise have the lawful right to post and distribute that User Content, to or through the Site and/or Services; and (ii) the use and posting or other transmission of such User Content does not violate these Terms and will not violate any rights of or cause injury to any person or entity.
  • Termination of License: This license ends when you delete the content or close your account, with the exception of any data that Ounits is required to retain for legal, regulatory, or audit compliance.
  • Trademark: Other than User Content, the Services, the Site, Platform, all Content and any other software used to create and operate the Site is the property of Ounits or its licensors, and is protected by Canadian and international copyright laws, and all rights to the Site, Platform, Services, such Content and such software are expressly reserved. All trademarks, registered trademarks, product names and company names or logos mentioned on the Services are the property of their respective owners.

We do not claim any ownership interest in your User Content, but we do need the right to use your User Content to the extent necessary to operate the Site and provide the Services, now and in the future.

You may only use the Services for the purposes expressly permitted. In particular, you may not use the Services or your access to our technology or any of our intellectual property rights, whether for yourself or for any other person, to research, develop or create, or to facilitate any of the foregoing by itself or any other person, any service or technology or product that competes with the Services or any other service provided through our technology or the Services, or that is similar thereto.

12. License to Use the Site and License Restrictions

In these Terms the content on the Services, including all information, data, logos, marks, designs, graphics, documents, recordings, pictures, sound files, other files, and their selection and arrangement, is called “Content”. The Content is owned by Ounitss and/or its licensors.

Ounitss grants to you a revocable, non-exclusive, non-sublicensable license to use the Site, Platform and the Services and to view the Content available to you through the Site (“License”) subject to the License restrictions described herein. Ounitss, its affiliates and licensors will strictly enforce their intellectual property rights to the fullest extent permitted by law.

Other than as expressly permitted in these Terms, the License is subject to the following restrictions and account terms:

  • The Content and Services we provide through the Site and Platform are for your use only. You may not resell, lease or provide them in any other way to anyone else, except as permitted through the Services.
  • You may not make or distribute copies of the Site, Platform, Services or Content or reproduce, distribute or display the Site, Platform, Services or any Content (except for page caching) except as expressly permitted in these Terms.
  • You may not modify or create derivative works based on the Site, Platform, Services or Content.
  • You may not use the Site, Platform, Services or Content for any application deployment or ultimate production purpose.
  • You may not use the Site, Platform, Services or Content to develop any application, website or product having the same or similar primary function as the Site, Services or Content.
  • You may not remove or modify any copyright, trademark or other proprietary notices that have been placed on the Site, Platform, Services and/or Content.
  • You may not otherwise use the Site, Platform, Services or Content other than for its intended purpose.
  • You may not use any data mining, robots or similar data gathering or extraction methods.
  • Your use of the Site, Platform, Services and Content must not infringe or violate the rights of any other party, breach any contract or legal duty to any other parties or violate any applicable law.
  • All listing information obtained by you from the Site and Platform is intended only for your personal, non-commercial use.
  • You shall not copy, redistribute, retransmit, or otherwise use any of the data or listing information provided, except in connection with your consideration of the purchase or sale of an individual property.
  • You acknowledge that listing information is licensed to Ounitss by the Toronto Regional Real Estate Board, which retains its proprietary rights and copyright in the MLS® database, TRREB’s MLS® System, listing information and any related information.

TRREB, and other Members of TRREB or their duly authorized representatives may access this website for the purposes of verifying compliance with MLS® Rules and Policies (including the VOW Rules) and monitoring the display of Members’ Listings by the VOW.

The licenses in this Section are revocable by Ounitss at any time.

13. Termination

  • User Termination: You may close your account at any time by contacting support@Ounits.ca.
  • Platform Termination: We reserve the right to suspend, block, or terminate access for violations of these terms, fraudulent activity, or conduct that harms the platform community.
  • Site Offerings: We may change, suspend or discontinue any aspect of the Site, Services or Content; and or impose limits on the Site, Services or Content.
  • Effect of Termination: Upon account closure, your access to Ounits’s active coordination tools and the group dashboard will cease. Any outstanding platform fees remain due and payable.
  • Survival of Co-Ownership Obligations: The termination of your Ounits account does not dissolve or affect your legal ownership of real estate assets, mortgage obligations, or any co-ownership agreements you have entered into with your group. Your rights and responsibilities as a property owner and your obligations to your co-owners continue independently of your use of the platform.
  • Data Retention: Following account closure, your documents will be available for export for 30 days. After this period, Ounits will retain only the minimum data required for legal, regulatory, or audit compliance to maintain the integrity of the transaction’s historical record.

14. Disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

  • Mandatory Negotiation: In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the use of the Platform, or the general business relationship with Ounits, the parties shall first attempt to resolve the matter through good-faith negotiations for a period of at least thirty (30) days.
  • Mediation: If the dispute is not resolved through negotiation, the parties agree to participate in one (1) mandatory mediation session in the Province of Ontario, at a location mutually agreed upon by the parties. The parties shall share the costs of the mediator equally.
  • Binding Arbitration: If the dispute remains unresolved following the conclusion of mediation, the parties agree to submit the dispute to binding arbitration in Toronto, Ontario. The arbitration shall be conducted by a single arbitrator and governed by the Arbitration Act (Ontario). The arbitrator’s decision shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
  • Court and Jurisdiction: Recourse to the courts is reserved as a final step to enforce an arbitration award, to seek interim injunctive relief to prevent irreparable harm, or for any matters that are not legally permitted to be settled via arbitration. The parties attorn to the exclusive jurisdiction of the courts of the Province of Ontario.
  • Time Limit: Any claim related to these Terms or the use of the Platform must be brought within two (2) years of the event giving rise to the claim.

15. Account and Registration

Users can browse the Site without registering for an account. However, in order to receive access to the Platform and Services, users must register for a user account (“User Account”).

Upon the registration or use of a User Account, you agree to (a) provide accurate, current and complete information as may be prompted by any registration forms on the Site (“Registration Data”); (b) maintain the security of your password; (c) maintain and promptly update the Registration Data, and any other information you provide to the Site or Platform, and to keep it accurate, current and complete; and (d) accept all risks of unauthorized access to the Registration Data and any other information you provide to the Site or Platform. Ounitss may ask you to renew your password periodically in order to maintain access to the Platform. You are responsible for all activity on your User Account, and agree not to grant access of your User Account with others or to allow parties that do not have the requisite licenses with Ounitss to access the Products.

16. General

Amendments: We may update these Terms from time to time to reflect changes in our platform or legal requirements. We will provide at least 30 days’ notice of material changes via email. Your continued use of the platform after the 30-day period constitutes acceptance of the updated Terms.

Assignment: You may not transfer or assign your rights under these Terms to any other party. Ounits may assign its rights and obligations to an affiliate or a successor in interest in the event of a corporate reorganization or sale.

Entire Agreement: These Terms, together with our Privacy Policy and your Buyer Representation Agreement, constitute the entire agreement between you and Ounits regarding the use of the platform.

Severability: If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. Ounits may assign any or all of its rights hereunder to any party without your consent. You are not permitted to assign any of your rights or obligations hereunder without the prior written consent of Ounits, and any such attempted assignment will be void and unenforceable. These Terms constitute the entire agreement between you and Ounits regarding your use of the Site, the Platform, and Services, and supersede all prior or contemporaneous communications whether electronic, oral or written between you and Ounits regarding your use of the Site and Services. The parties confirm that it is their wish that these Terms, as well as any other documents relating to these Terms, including notices, have been and shall be drawn up in the English language only.

Brand Reference: For the purposes of these Terms and all platform communications, the terms “Ounits” and “Ounitss” refer to the same digital platform operated by Ounits Technologies Inc.

Inaccuracies: The Site, Platform, and/or Services may contain typographical errors or inaccuracies and may not be complete or current. Ounitss reserves the right to correct any errors, inaccuracies or omissions (including after an order has been submitted) and to change or update information at any time without prior notice. We apologize for any inconvenience.

Communications: Notices that we give you may be provided in any of the following ways. We may e-mail you or send you a text message/SMS at the contact information you provide in your Registration Data. We may post a notice to you in the account area of your User Account on the Site or the Platform. We may post the notice elsewhere on the Site or the Platform. When we post notices on the Site or the Platform, we post them in the area of the Site or the Platform suitable to the notice. It is your responsibility to periodically review the Site or the Platform for notices.

Modification of Terms: Ounitss reserves the right to change or modify any of the terms and conditions contained in these Terms, or any policy or guideline applicable to the Site, the Platform, and/or Services, at any time and in its sole discretion. If we do so, we will post a notice on the Site or Platform visible to you the next time you access the Site. If you do not agree with the changes, your only remedy is to cease use of the Site, the Platform and Services and cancel your account with us without further obligation, if you have one. Unless otherwise specified, any changes or modifications will be effective immediately upon posting of the revisions on the Site or the Platform, and your continued use of the Site, the Platform, and Services after such time will constitute your acceptance of such changes and/or modifications. You should from time to time review the Terms and any policies and documents incorporated in them to understand the terms and conditions that apply to your use of the Site, the Platform, and Services. The Terms will always show the “last updated” date at the top. If you do not agree to any amended Terms, you must stop using the Site, the Platform, and Services.

Acknowledgment

By accessing or using the Ounits platform, you expressly agree to these Terms and acknowledge the following:

  • User Responsibility: You are solely responsible for selecting your co-owners and obtaining independent legal, financial, and tax advice.
  • Inherent Risk: Co-ownership is a significant financial commitment that involves risks, including potential financial loss and interpersonal disputes.
  • Platform Role: Ounits is a digital coordination platform, not a real estate brokerage, law firm, or financial advisory firm.
  • Fee Disclosure: You have reviewed and accepted the fee structures as disclosed in both the Fees section of these Terms and your Buyer Representation Agreement (or equivalent service agreement).
